Icahn opposes voting rule change proposed by Dell founder

(Reuters) - Activist investor Carl Icahn urged Dell Inc's special committee to not change voting rules, as proposed by the company's founder Michael Dell, which would make it easier for a CEO-led group to take the personal computer maker private.

The CEO and partner Silver Lake last week raised their $24.4 billion bid by less than 1 percent hours before it was to be put to a vote, and added on a controversial demand to change voting rules to make it easier for his group to take the company private.

Icahn, who has amassed an 8.7 percent stake in Dell and is leading a charge with Southeastern Asset Management against the buyout with an offer of his own, said the shareholder protection offered by the original rules were too important to waive at virtually any price.

The Last Text You?ll Ever Send

Makers of cars and mobile electronics are pushing a tempting vision of the future. It is one in which you can stay fully connected while driving. In the name of safety, they provide a hands-free wireless kit for your cellphone so you can talk with both hands on the wheel. The latest additions are voice-to-text systems that let drivers send and receive texts and emails without looking at a screen. High-end cars even have touchscreens with interfaces for finding restaurants, reserving tables, and buying movie tickets while on the road.

Surely it can't be a good idea to put all these distractions in front of drivers? The National Highway Traffic Safety Administration in the United States says distracted drivers killed more than 3,300 people in 2011. This April it recommended that manual text entry and the display of text messages or Web content should be blocked in all moving vehicles.

Last month the U.S. automobile association AAA warned that even hands-free, voice-based systems could dangerously divert your attention from the road. I got the bone-chilling message about distracted drivers last year when one slammed into a utility pole and two others hit parked cars within a few doors of my home. Only one driver was drunk.

Drivers with their minds and eyes off the road have been crashing cars since the days of Henry Ford. But the spread of cellphones put distracted driving in the spotlight. In the early days, it was natural to think that holding the phone while talking was the problem. But more than a decade of research has debunked that assumption.

Now Strayer has returned to the lab?and he has more bad news. Sponsored by the AAA Foundation for Traffic Safety, he compared driver response in different situations. Radio or audiobooks were judged mildly distracting. Talking on a hand-held or hands-free phone or to a passenger were all more distracting, with hand-held the worst of these. But voice-activated systems to send and receive texts and email were the worst kind of distraction.

The fundamental problem is that safe driving demands attention, but multitasking divides our finite mental resources. "Just because a new technology does not take the eyes off the road does not make it safe to be used while the vehicle is in motion," wrote Strayer.

His data shows that talking to the voice-to-text system is more cognitively demanding than talking to a person, leaving less brainpower for driving.

Safety rules in many countries have fallen far behind the research, which has confirmed the obvious dangers of drivers taking their eyes off the road to text on a hand-held phone. In the United States, it is down to individual states to enact laws. A series of accidents helped push 41 states to ban such texting while driving. Six other states ban only younger drivers from texting in this way.

The United Kingdom banned drivers from talking on hand-held phones in 2003, but only 11 U.S. states have followed suit. The U.K. ban extends to hand-held texting. Importantly, neither country restricts using phones hands-free for talking or texting, despite all the research and horrific accidents, such as the one involving a chatting truck driver who gravely injured a London cyclist in 2011.

"It's time to consider limiting new and potentially dangerous mental distractions built into cars, particularly with the common public misperception that hands-free means risk-free," says AAA President Robert Darbelnet. The group wants to limit voice controls to "core" tasks such as controlling windshield wipers and climate control, and to disable voice-to-text systems when moving. Those are good ideas, but they may be too little, too late. Two days before AAA released its report, Apple announced that its new operating system for iPhones, iOS 7, will enable car touchscreens to display text messages, with drivers able to read and reply to such messages via voice interfaces?exactly what Strayer's research showed to be most risky.

Nobody likes to be told "hang up and drive," but that's the right message. Multitasking is harder than we think. And, like alcohol, it does not mix well with driving. Strayer and AAA are planning follow-up studies to learn more, but don't expect a workaround. This is not about freeing our hands to steer; it's about freeing our minds to drive.

Manufacturers claim the public want connectivity, but AAA says it could find little support for that. A spokeswoman for AAA says that people in her office with new cars "aren't even interested in having those features" and find them hard to use.

But unless there is a wave of disastrous accidents, politicians are unlikely to pluck up the courage to ban such systems from cars. Insurance companies will have no such scruples. For example, if it turns out that hands-free electronics double the risk of an accident, they might double premiums, or insist systems be disabled. However, collecting data takes time. For now, all we can do is try to educate people and hope that electronics and auto companies wake up to the danger.

Ironically, in the longer term, more technology could be the answer. Self-driving cars could focus on the road and leave the people inside to chat with friends or fiddle with Facebook. That would finally rid cars of their most dangerous component?the nut behind the wheel.

Social media help track property lost in Holocaust

BERLIN (AP) ? When Cati Holland checked her email a few weeks ago, she was surprised to find a message saying she was eligible for compensation for her grandmother's Berlin store that was seized by the Nazis more than 70 years ago.

It wasn't spam or a phishing attempt or even a legitimate note from a German official working to track down victims and their heirs. Rather, it was from an Israel-based social media genealogy company that is using the Internet to help match property stolen by the Nazis to heirs of the victims.

"My grandmother told me so many stories about the store ? about the beautiful dresses and fancy hats they made, the wealthy customers who wore them," Holland, 75, told The Associated Press by phone from Hadera, Israel.

"But we always thought everything had been lost after my parents fled the Nazis. It never even occurred to us to claim any kind of restitution. I was completely surprised about that email."

Since the collapse of the Third Reich in 1945, Germany has paid around 70 billion euros ($92 billion) in compensation to the victims of the Holocaust. More than two million people have received lump sum payments or an ongoing monthly pension. The state of Israel has received around 1.7 billion euros ($2.2 billion), according to the German finance ministry.

Part of the compensation was earmarked for the Conference on Jewish Material Claims against Germany, a private New York-based organization that works to secure restitution for survivors and their heirs. Descendants can come forward to claim their family's assets until the end of 2014 if they find their original property on a recently released list by the Claims Conference, called the Late Applicants Fund.

Over the years, the search for the heirs has become more complicated because most of the Holocaust survivors have died. Descendants also don't always have detailed knowledge of their family's former assets.

But the rise of social media has offered new opportunities to track heirs and close the books on one of the darkest chapters of German history.

"We are only just seeing the huge impact that social media will have on Holocaust history," said Robert-Jan Smits, the director-general of the European Union's commission for research and design. "We are moving from dusty archives to digitized databases."

One of the driving forces behind the new push has been Gilad Japhet, CEO and founder of Israel-based MyHeritage, a social media website with about 70 million registered users worldwide that lets individuals build their own family trees online.

A few months back, Japhet read a report about the Claims Conference's list of over 40,000 buildings, stores and factories that could not be matched with their original owners. Japhet matched some names on the list to the millions of names that users had posted on MyHeritage's family trees online.

"I thought my chances of finding any of the names on the website of MyHeritage were not looking good since experts have been searching for them for decades. But I still wanted to give it a chance," Japhet said. "I chose some very rare names from the list and to my surprise the second name I put in was already a match."

Japhet put together a team of five employees and had them write a computer program that automatically matches the names on the Claims Conference's list with those on the virtual family trees. So far, they have been able to match about 150 names on the list with names on the family trees. They expect to continue working on this project for several more months.

In the case of Cati Holland, MyHeritage initially contacted her son-in-law Eran Karoly. He had posted a family tree which included Recha Cohn, Holland's grandmother and the owner of the Berlin store, which was located on the fashionable Kurfuerstendamm boulevard in the western part of the city. Holland's grandparents escaped to South America shortly after the Nazis took over in the early 1930s and ended up in Israel many years later.

Holland filed an application for restitution to the Claims Conference and is now waiting for a response. The level of compensation depends on various factors, such as the value of the property and how many people will apply until 2014.

"I filled out the forms and sent in birth certificates and several photos," Holland said.

The Claims Conference itself says it has "received hundreds of applications" for the Late Applicants Fund but can't say for sure how many of them were due to MyHeritage.

Applicants who qualify for restitution will have to wait until the program's deadline on December 31, 2014, the Claims Conference's chairman Reuven Merhav wrote in an email.

As for Japhet and his team, they have made clear to the claimants that they don't want any money in return for their efforts.

"In my emails to the users, I always write that we don't want any money for doing this, nor part of any restitution they will get," said Japhet. "We do this as a mitzvah ? which in Judaism is a good deed."

Fox Sports 1 is gunning for ESPN. The new sports network just announced its "starting 5," i.e. its on-air talent, for its nightly flagship program, "Fox Sports Live."

The program will be a likely competitor to ESPN's "SportsCenter" and has gotten some A-list sports talent, alongside some former ESPN personalities. The initial go-around for the program will include:

Strategy Analytics' Claims of Samsung, Apple Profits Draw Controversy


Apple Insider has posted a fairly compelling breakdown of the claims that research firm Strategy Analytics is making regarding Apple's profitability versus rival Samsung's ? claims that we, and a number of other websites, reported yesterday.

(To be fair, we did call out fairly early on that Strategy Analytics' figures were estimates, since neither Apple nor Samsung specifically break out the operating profits of their smartphone business to such great detail. Consider these estimates to be as valid a claim as the all of the various "It's coming out [date]" stories that get posted about unreleased Apple products.)

First up, Strategy Analytics makes the claim that Samsung's "handset division" pulled in $5.2 billion of operating profits for the second quarter of 2013. This is where we start getting into a bit of a mess, terminology-wise. On its quarterly earnings statements, Samsung only reports operating profits for the entirety of its "IT & Mobile Communications" segment, which consists of Smartphone, Tablet, PC, and Networking sales. In the second quarter of 2013, this was approximately $5.64 billion in total operating profit.

The company does, however, break out a "mobile" category from its "IT & Mobile Communications" segment in terms of overall segment sales ? suggesting that the company's sales of its tablets, smartphones, and PCs ate up approximately 97.2% of its total "IT & Mobile Communications" segment (presumably, Samsung is just excluding networking sales in this "mobile" category).

That percent, applied to Samsung's operating profits for that segment, still doesn't quite get us to Strategy Analytics' estimate of $5.2 billion in operating profits for the company's "handset division," but it's getting closer.

So where does this number come from? We're not sure. And it's a key element of Strategy Analytics' implication that Samsung is passing Apple in smartphone profitability.

We do have a better sense of where the research firm is pulling in its estimate of $4.6 billion for Apple's iPhone operating profit ? and it's not good. As Apple Insider's Daniel Dilger pointed out, it appears as if Strategy Analytics is taking a look at the net sales figures that Apple reports for all of its products ? noting that iPhone sales account for roughly half of the company's total sales.

So, what does Strategy Analytics do? It seems to divide Apple's total reported operating income for the quarter ? $9.2 billion ? by two to come up with its $4.6 billion figure for iPhone operating profits. This, as Dilger notes, is a no-no.

"That's based on the faulty assumption that Apple earns the same profits on iPhone as it does across the rest of its business. Apple doesn't report margins for each business segment, but it is well known that Apple earns more from iPhone sales than from other product segment," Dilger writes.

In the end, we get a lot of fuzzy math, and don't expect this to change. Neither Samsung nor Apple is going to call out the operating profits of its individual product lines in an effort to avoid comparisons like the ones Strategy Analytics is attempting to make regarding strength or weakness in a particular area.

What would bolster Strategy Analytics' estimates? If we had a better percentage of how the individual components of its "IT & Mobile Communications" segment contribute to the category as a whole for sales or operating profit, we could at least drill down a bit instead of attempting to compare the entire category against Apple's iPhone line. On the flip side, if we had a sense of just how much Apple's iPhone business contributes to the company's $9.2 billion operating profit, we could get a better sense of how much total cash the iPhone shovels into Apple's bottom line.

According to the latest figures from IDC, Samsung is still besting Apple in the smartphone market with a total share of 30.4% to 13.1% as of the second quarter of 2013. Apple, on the other hand, enjoyed a first-quarter dominance in the tablet market, besting Samsung with a total share of 39.6% to 17.9%.

Janta Party President files PIL in SC seeking cancellation of FIPB nod to AirAsia India

Subramanian Swamy, President, Janta Party has challenged the proposed Joint Venture (JV) between AirAsia Berhad, Tata Sons Ltd and Arun Bhatia of Telestra Tradeplace Pvt. Ltd., AirAsia India, in the Supreme Court of India (SC), as per a Business Standard report. In a 60-page Public-Interest Litigation (PIL), he has sought cancellation of the Foreign Investment Promotion Board?s (FIPB) clearance to the airline. The matter will be discussed in the SC on Monday.

Swamy argues illegalities in the deal and that on the back of pressure from the Ministry of Commerce and Industry, the Ministry of Civil Aviation decided not to push its contention on allowing Foreign Direct Investment (FDI) in new JVs. In March, the FIPB cleared a proposal to launch the airline.

Bronwyn More Than Delivers on High Expectations | The Somerville ...

Union Square has been getting a lot of attention in the last couple of years for its vibrant culinary scene, but perhaps no opening has been buzzed about more than Bronwyn. The bar and restaurant, which highlights the food and drink of Central and Eastern Europe, was even named one of the 16 hottest openings of 2013 by Zagat.

It?s easy to get caught up in the high expectations new restaurants often bring, but in the case of Bronwyn, the hype was right on. Every detail has been meticulously selected to bring diners an authentic experience. From the mismatched chairs and the heart motif carried throughout the space to the gorgeous bar and the heavy use of wooden decorations, no choice was left to chance.

And of course, let?s not forget about the food and drink. Some people love donuts, some people love bacon, but me? I love pretzels, so I had pretty high expectations for the giant one served at Bronwyn. It was, in a word, perfect. Larger than my head, it came with the mustard to end all mustards. Tangy with a light sweetness, the mustard was the perfect foil to the pretzel, with its crusty shell and soft, pillowy interior.

We also sampled the pickled eggs, which tasted almost like a lighter, fresher deviled egg when paired with accompanying horseradish mustard. Served on a slate board and sprinkled with chives, the pink eggs were visually appealing as well as delicious.

My dining companion had visited Bronwyn once previously and sampled the sausages (yes, all of them), so we decided to go a different route this time around. He reported that all of the wursts were flavorful, unique and made a terrific meal. He was partial to blood sausage, but said they were all quite tasty.

For our main courses, I selected the vegan plate, which I had heard rave reviews about. My plate was piled high with a wide variety of roasted vegetables and fruit (think tomatoes, zucchini, onions, squash, apples and even oranges), a slice of Bronwyn?s hearty bread with hazelnut ?butter? (like hummus), barley and an amazing cucumber dill salad that was perfect for the warm summer day.

The dark beer pasta with sugar snap peas, swiss chard, mustard and blue cheese was also a hit. The rich dish was perfectly portioned with all of the flavors melting into the tender pasta with each bite.

To wash all this down, we sampled several of the draught beers and loved them all.?Mahr?s Ungespundet was a full-flavored lager served in a giant goblet, while the?Kulmbacher pilsner and?Sunner kolsh were light and refreshing and served in thick-glass mugs.

The best thing about Bronywyn was the way everything paired so well together. The beer complemented every dish in a way that added so much depth and never took away from the meal?s complex flavors. And the festive atmosphere provided just the right environment to enjoy such a wonderful meal. That the service was friendly, prompt and professional truly made the night.

Wagner "Ring" in birthday year at Bayreuth channels U.S. South

BAYREUTH, Germany (Reuters) - A new production of Richard Wagner's "Rheingold" kicking off the "Ring" cycle on Friday for his 200th birthday year in the opera house he built in Bavaria moved the action from the Rhine to a sleazy motel in Texas where just about everyone was a crook.

In his staging, Berlin director Frank Castorf channeled Wagner's 19th-century opera through the television series "The Sopranos" and the Texas oilman J.R. Ewing from "Dallas", with elements of Hitchcock's "Psycho" and playwright Tennessee William's seedy American South thrown in for good measure.

The famous Rhine maidens who open the opera, and then lose their gold to the hideous dwarf Alberich, provided a near-opera-long fashion show of lingerie styles while murder, mayhem, theft, conspiracy and strong-arm thuggery took place throughout the motel and an attached petrol station.

The God Wotan, sung with great forcefulness by German bass-baritone Wolfgang Koch, was portrayed more like a Las Vegas mobster than a God, aided and abetted by his henchman Loge, sung with villainous flair by Austrian tenor Norbert Ernst.

Much of the action was captured by cameras, sometimes peering into places the audience could not otherwise see, and projected on a huge video screen centre stage.

At the final curtain, an initial loud burst of booing from sections of the Bayreuth Festspielhaus that Wagner built at the end of the 19th century, mostly with borrowed money, was quickly drowned out by applause and cheering.

Russian conductor Kirill Petrenko, who kept the opera moving at a brisk pace, got a thunderous ovation. There was loud applause too for German mezzo soprano Nadine Weissmann as the earth mother Erda and for German mezzo Claudia Mahnke as Wotan's long-suffering wife, Fricka.

"I think partly it's genius, I mean Castorf had a very good intuition," Christine Lemke, critic for the Die Zeit newspaper in Hamburg, told Reuters during the curtain calls.

She doubted Castorf's dizzying array of inspiration, which included a Mercedes convertible and a Winnebago-style camper driven and hauled on stage, could sustain interest during longer vocal passages in the later parts of the four-opera cycle, premiering this week and next, but she was keeping an open mind.

Eric Fabian, a toxicologist attending from the German city of Speyer, said for him the staging failed to bring out the opera's "mystique".

"I like the quality of the orchestra, the quality of the singers, but for me the quality of the staging is two classes below, or three," he said.

Anne-Marie Lucke of Munich thought there had been something of a deliberate attempt to shock and make headlines. "It's an event to catch people like flypaper and for the 200th anniversary it's a disgrace," she said.

The Bayreuth birthday year production of "The Ring" continues on Saturday night with the second opera in the cycle, "Die Walkure".

Presenter swaps youth radio role for life in the south Atlantic

A RADIO presenter who swapped land-locked Worcester for island life in the south Atlantic is now officially entertaining the troops.

Chris Keen is settling into his new role on the Falkland Islands after he joined the British Forces Broadcasting Service to present its breakfast show.

The 24-year-old, of Claines, who was formerly the voice of Worcester station Youthcomm?s morning show, spoke of landing his dream job and taking a life-changing step on to the career ladder. The former Worcester Sixth Form College student said: ?I?ve been here almost a month now and so far I have enjoyed every minute of it.

?Working so closely with the military is great.

?I live, eat, and socialise with them so I can really get a sense of how they work away from home during an overseas deployment.

?My passion is presenting and to do this for BFBS is a dream come true.

?This has been a huge, life-changing move for me, so I?m very excited, but at the same time a little sad to have left home.

?I grew up in Worcester and loved it as there?s beautiful countryside on the one side and a great city centre on the other.

?Working in the Falklands is totally different to any job I have ever had.

?For a start, just to get to the studio I have to walk down what seems like the longest corridor in the world ? that?s weird.

?I love being on air here and having interaction from the guys and girls, especially when I meet them in the mess and they tell me they?re listening to the show.

?Hopefully I?m making a difference and brightening up their day by playing their favourite song or just by saying hello.?

    But for most of the fighters appearing on the Resurrection Fighting Alliance card next month in Carson, their next bout could be the start of something big.

    Much like the fact that the burgeoning MMA company will host its first show in Southern California when it stages "RFA 9: Munhoz vs. Curran" on Aug. 16 at the StubHub Center.

    And while main-event fighter Jeff Curran -- a late replacement for injured Keoni Koch -- will be attempting to resurrect his lengthy career after a brief stint in the UFC, the rest of the card features a lot of up-and-comers.

    "When you add this up, they're all prospects. We're not the kind of event just trying to put bodies in there," RFA president Ed Soares said. "I'd rather cancel a fight than put a (bad) fight on. I'd rather have one less fight on the card than have a (bad) fight."

    For Soares, this event is a perfect marriage. He grew up and resides in the South Bay and is one of the most influential managers in MMA. Among his renowned stable are former UFC champions Anderson Silva, Lyoto Machida and Antonio Rodrigo Nogueira.

    But among those greats at Black House are several hungry fighters who hope to some day achieve similar greatness.

    Pedro Munhoz is one of those young lions. He moved from Sao Paolo, Brazil, to Southern California to train full-time among some of the sport's best in the Gardena gym.

    And now he gets to test himself and his 8-0 record against a veteran like Curran for the vacant RFA bantamweight title.

    In the co-main event, Hawthorne's Kevin Casey (5-3), another Black House member who recently competed on the UFC reality show "The Ultimate Fighter 17," takes on Casey Ryan (5-0) in a 185-pound contest.

    "We have a bunch of Black House guys. It's a nationally televised event but we're still running it like a regional show," said Soares, referring to the organization's broadcast deal with AXS TV. "We're really developing prospects. You might not who they are, but you will know who these guys are."

    Ford To Fund Its Pension Fully By Mid-Decade

    Ford (F) is one of the most popular stocks covered by analysts, journalists and online contributors. Much of the research conducted on Ford is overly simplistic and rarely talks about important points beyond looking at the company's P/E ratio. There are many articles that look at Ford and try to determine whether the company is buy, hold or sell by using only at its P/E ratio. This is why I decided to write this series on the company to cover many aspects of it. In this article, I'll talk about one of the most important items in Ford's balance sheet: its pension obligations.

    So, what's going on with Ford's pension plan and why is it so important for the investors? As of the end of last year, Ford had an outstanding pension obligation to its retirees totaling $83 billion. The company spent $3.4 billion during 2012 in order to fund some of the obligations and there is a shortfall of $18.7 billion. The company plans to meet all its obligations by the mid-decade. As you can see, the pension obligations are one of the biggest items in Ford's balance sheet and they eat a big chunk of Ford's earnings right now. On a positive note, when the company is done with paying these obligations off, its balance sheet will be very healthy and it will be able to spend this money on its investors in shape of dividends and buybacks.

    Currently, the policies of the Fed have created a low-interest environment which is hurting pension funds across the world. Pensions can't put all their money in stocks because it would be too risky. After all, millions of retirees and their families will have to rely on pension funds to support a living. When the interest rates are low, companies have to make larger contributions to their pension funds in order to close the gap.

    In 2012, Ford's pension plan's asset return was $7.0 billion and its obligation growth was $5.2 billion, resulting in a net return of $1.8 billion. The contributions totaled $3.8 billion, which added $5.6 billion to the funds when combined with the net return. Unfortunately, the lower discount rate was $8.9 billion, which increased the funding gap by $3.3 billion ($8.9 billion minus $5.6 billion). The discount rate is a direct function of interest rates.

    According to the company's calculations, if the interest rates were higher by 1%, the funding gap would have narrowed by $2.3 billion in 2012. Similarly, if the interest rates were lower by 1%, this would have widened the funding gap by another $2.8 billion. As you can see, the funding status of Ford's pension plan will be heavily dependent on the interest rates. In fact this is true for most companies with pension plans. The good thing is that the interest rates will be almost always higher than how they are right now because they are artificially pulled back by the policies of the Fed until the economy improves.

    In January of this year, Ford issued new debt of $2 billion with a yield of 4.75%. Part of this debt (i.e., $600 million) was used to retire an older debt that used to yield 7.50% and the rest of this amount ($1.4 billion) will be used to make pension payments. This debt will mature in 30 years.

    Ford is funding its pension plans at a higher rate each year. In 2011, the contribution was $2.3 billion, followed by $3.4 billion in 2012. This year, the plan is to contribute $5.4 billion to the plan, which will be the largest payment in a long time. Of this, $5 billion will go to funded plans and $400 million will go to unfunded plans. The number is large enough to worry some investors and eat a large portion of Ford's income; however, keep in mind that once the program is funded, Ford won't have to worry about this anymore, which means it can focus on other things such as further growth, higher dividends and stock buybacks. Once the pension plan is fully funded, Ford's balance sheet will start get significantly stronger. Currently, Ford's balance sheet is one of Alan Mulally's biggest priorities because he understands the importance of a strong balance sheet for both operations and investors of a company. Strong balance sheets support strong dividends and buybacks in addition to future growth initiatives.

    The future contributions to the pension plans will depend on several factors. These factors are discount rates (dependent on yield of high-quality bonds in a given country), expected long-term rate of return on assets (focuses on historical long term trends rather than short term fluctuations), salary growth (a function of inflation), inflation (based on GDP growth and central bank inflation targets), expected or planned contributions (based on cash availability), retirement rates and mortality rates. Due to the strong stock market in the US last year, the return on assets was as high as 14.2%. In the long term, the expected return on assets is 7.5% per annum. This is because the pension plan is heavily invested in high quality bonds and the stock exposure of the pension plan is limited in order to limit the risk.

    In addition to the pension plans, the company also offered to pay a lump-sum to many current or former employees that were either close to or in retirement. A number of these employees voluntarily took the payouts, which resulted in a one-time payment of $1.2 billion. Ford is pretty much done with making payments to those who accepted the lump-sum payment. The offer is good through 2013, so there might be more people who accept to take the payment and be done with it.

    In conclusion, under the leadership of Mr. Mulally, Ford is working on improving itself in every way including its balance sheet. Currently, the company is making large contributions to its pension plan, but once the plan is fully funded, the company will be able to put its cash in other uses such as dividends, stock buybacks and future growth initiatives.

    Challenges threaten Minneapolis-St. Paul&#39;s image as a livable place ...

    This is the second of two stories exploring strategies for ensuring the continuing vitality of the Minneapolis-St. Paul region. They are adapted from?a report?for the?McKnight Foundation?s Food for Thought series by local author?Jay Walljasper.?The first story, ?Minneapolis-St. Paul?s identity crisis could mean trouble for our future,? examined how little people outside Minnesota know about the region.?

    Minneapolis-St. Paul can no longer rest its laurels as one of America?s most livable places lauded by magazines back in the 1970s. In an era of accelerating social and economic change, we must double down our efforts to remain an attractive place to live, work and do business.

    We are grappling with longstanding problems, such as the coldest winters of any major American city and the widespread perception that we are located in the middle of nowhere, as well as new threats like a widening achievement gap between whites and people of color. Well-established companies can fly off to Atlanta or San Francisco (as happened with Northwest Airlines and Norwest Bank) and young talent may never even glance at us as they speed in the direction of Brooklyn or Portland or Shanghai.

    Even our most cherished asset ? ?a great place to raise a family? ? is being undercut by places we once joked about: Omaha, Des Moines, Madison, and other small metros around the country that enjoy booming economies and rising urban sophistication. David Feehan, who until recently headed the International Downtown Association, says, ?Minneapolis-St. Paul has not been getting better at the same rate as these places.?

    Here is a sober look at looming problems (some painfully real, others common misperceptions) that threaten our identity as a prosperous, vital, equitable place ? as well as practical thoughts on how to overcome them.?

    The stubborn achievement gap

    First and foremost among our problems is the stark, unyiedling fact that the ?good life? in MSP is not shared by everyone who lives here. Low-income communities, particularly people of color, are falling dangerously behind when it comes to income, education and home ownership. A sense that ?we?re all in this together? has historically been one of our cultural strengths compared to the rest of the country, but now we rank near the bottom on many measures of economic and educational equity.

    The reputation of our ?brainpower? work force looks questionable when minorities (who are estimated to be 43 percent of the MSP population in 2040) perform significantly less well in school than white students. This worries Citistates Group president and former Metropolitan Council chair Curtis Johnson, who notes, ?Our comparative advantage has always been a higher percentage of educated people.?

    Minnesota Nice: Not-so-nice for minorities

    Our long pride in being a liberal, open-minded place vanishes after hearing people of color speak honestly about their experiences living here.

    ?This is an hospitable place on the surface,? says Dave Ellis who moved to town in 1974 after college and worked for Dow Chemical, the Minnesota Department of Corrections and the United Way. ?But it?s hard to be your full self here. Telling my story is very important to me, but to the dominant culture it sounds like anger and rage. I?ve learned to be hyper-vigilant in social settings, and after a while you don?t want to participate any more.? He now runs Three E Consulting and convenes discussions about race and culture across the state.

    Many corporate recruiters admit that non-white professionals are reluctant to move to MSP. ?They see barriers to moving up in their career,? explains DeAnna Cummings, executive director of Juxtaposition Arts in North Minneapolis. ?There are few examples of African-Americans or others in positions of power.? Erik Takeshita, deputy director of the Local Initiative Support Corporation-Twin Cities, acknowledges, ?There is a growing diversity here, there?s still a lot of pressure to assimilate. Other cities do a better job of letting you be who you are.?

    Vanilla City, USA

    In the eyes of many, we are an out-of-the-way city populated exclusively by blond-haired folks who eat spongy white bread and say ?you betcha.? That?s not going to stir much excitement for an emerging generation raised on rap, dim sum and a desire for diversity.

    Of course, that perception is as outdated as Lou Grant?s wardrobe. African-Americans, Latinos, Asians and Africans have arrived in large numbers since the 1980s. We elected America?s first Muslim to Congress and the University of Minnesota boasts one of the largest concentrations of Chinese students. You can see West Indians in white flannels playing cricket in Bryn Mawr meadows on Sunday afternoons and gala quincea?era festivities all over town on Friday and Saturday, as Mexican-American communities celebrate girls? 15th birthdays.

    Even the suburbs are turning colors. Brooklyn Park and Brooklyn Center, not Minneapolis and St. Paul, are the two most racially diverse communities in the region. People of color make up at least 10 percent of the population in 72 of the 183 communities in the metro area ? about 40 percent of all suburbs.

    To add brightness to our international image, we should highlight what?s happened around town musically since Prince left the stage. Atmosphere, POS, Brother Ali (who is blonde but also Muslim) and their brethren at the influential Rhymesayers Entertainment record label and Doomtree collective are leading lights in the hip-hop world.

    It?s chilly here ? and not just the weather

    It?s not just people of color who find it hard to fit in. Tom Borrup, founder of the national arts-based development firm Creative Community Builders, moved here from the East Coast more than 30 years ago.?

    ?I found it easy to meet people,? he remembers, ?but very few of them grew up here. I heard that you were really accepted as a Minnesotan when you got invited to someone?s cabin. Well, that took about 15 years.?

    ?In Minnesota, a new resident is someone?s who?s lived there 10 years,? reports Katherine Loflin, author of the Knight Foundation?s landmark Soul of a Community study, which studied 26 regions around the country to find what factors create a sense of belonging for local people. She found that ?young talent? was the ?least welcome? of all the groups in MSP.

    Is our economy at risk for not taking risks?

    The Star Tribune recently shouted bad news on its front page: ?Minnesotans ranked last in creating new businesses.? According to Patrick Boulay, publisher of New Business Minnesota, the newspaper based its story on a mistaken presentation of data by the Kaufman Index of Entrepreneurial Activity. Mark Ritchie, who registers new businesses in his position as Minnesota secretary of state, reports, ?For the record in 2012, Minnesota had one of the highest years on record for new business filings and on a per capita basis we were way ahead of the ?hot? states of Ohio, North Dakota and Wisconsin.? Nonetheless our economic dependence on big, established companies is worrisome. ?What if you took half of our Fortune 500 companies out of the equation?? asks Curtis Johnson. ?I believe these companies are more mobile than we think.?

    Since most of our big employers are homegrown it?s essential that we continue nurturing small businesses, which provide more jobs than big companies. This inevitably raises questions about the business climate, which has been a political dogfight for decades. Do MSP?s high taxes squelch prosperity? Depends on whom you talk to. But it seems clear that even with relatively higher taxes, our economy has remained stronger than many low-tax/low-services regions around the country.?

    But another deterrent to entrepreneurship merits further scrutiny. ?The business climate here is terrible,? declares real-estate consultant Sam Newberg. ?I?m not talking about taxes. I?m talking about all the bureaucratic obstacles, like needing to provide two bathrooms in a tiny store. We need to make easier to do the right thing.?

    Lagging behind in livability, walkability and transit

    Any discussion about the business climate should be broadened to include what spurs economic development along with what inhibits it. That?s the crux of the familiar Creative Class theory, which holds that regions with a high quality of life attract the young creative workers and entrepreneurs who are critical to economic success in the 21st?century. Many local observers worry that we are falling short on important measures of urban livability, walkability and public transportation, which are dear to the emerging generation of creative workers.

    The Millennial Generation ? born after 1980 and now entering the work force in large numbers to replace tens of millions of baby boomers soon to retire ? are the first generation in a century not obsessed with autos. Even Motor Trend magazine admits that young urban professionals are less likely to buy cars than in the past.

    While MSP sports some of the best bikeways anywhere in the U.S., we are outpaced by many other regions when it comes to walking and transit. Even with the soon-to-open Green Line, we?re still behind places like Dallas, St. Louis, San Diego, Baltimore, Salt Lake City and even Los Angeles on rail transit, not to mention our A-list competitors.

    Tom Borrup, who consults with people around the country wanting to improve their communities, does not mince words: ?The one area that?s horrendous here is public spaces. Aside from the great parks, it boggles my mind how the streets, neighborhoods and downtowns are so car-oriented.? Being a world-class city depends on good and aesthetically pleasing places to walk.?

    Walkability is an issue that goes beyond transportation choices, air quality and exercise. Places where people walk a lot are also places where people interact, the secret sauce of vibrant cities.

    ?We are losing the chance to interact with one another,? argues Max Musicant, founder of a local ?placemaking? firm. ?We need public spaces to come together.??

    ?There?s still an attitude here the status quo needs to be suburban office parks, subdivisions and freeways,? says Jay Corbalis, a 27-year-old real-estate developer from D.C. .who works around the country. ?Minneapolis-St. Paul is behind the curve, which is why so many Big 10 graduates are flooding into Chicago where they can walk, ride trains and live a big-city life.?

    Not quite a big city?

    Is MSP is a big city along the lines of Seattle, Toronto, Boston and Chicago, or an overgrown version of Duluth or Sioux Falls? That?s the question at the heart of one of our most contentious issues today: urban density.

    ?Getting the kind of energy, vibe and experience that people want in a city doesn?t happen without density,? explains Patrick Seeb, executive director of the St. Paul Riverfront Corporation. ?People equate density with tall buildings but new developments like you see at 50th?& France show you can do density in other ways.?

    People here have long equated an urban atmosphere with blight, while spread-out houses with easy freeway access symbolized the good life as seen on TV shows like "The Brady Bunch." But many young people today aspire to the urbane world of "Friends," "How I Met Your Mother" and "Happy Endings." ?The 20th century American Dream of a big house and a green lawn is not disappearing any time soon, but increasing numbers of people want the choice of living in more compact, lively neighborhoods within walking distance of amenities, including convenient transit. The regions that thrive in the future will offer people both options.

    Our distinctiveness deficit

    ??What?s iconic around here?? asks Carol Becker, who teaches public policy at Hamline University and is an elected member of the Minneapolis Board of Estimate and Taxation. ?Besides the Juicy Lucy, which is just a cheeseburger turned inside out, what?s our special food??

    The IDS Center looks a lot like skyscrapers everywhere, and the Walker Art Center?s cherry spoonbridge is hardly an Eiffel Tower. What are we best known for? Probably the Mall of America, an impression Sam Newberg finds ?embarrassing.? The overwhelming majority of its stores are chains, and even local boy Snoopy has been ejected from the amusement park in favor of a cable TV channel. Is it any wonder people think of us as bland?

    Part of the problem, Becker says, is our lack of reverence for the past. ?We don?t look back, especially in Minneapolis.?

    The arts, particularly, cry out for more attention. The Fringe Festival is America?s largest non-juried arts festival in America. There?s a staggering breadth of grassroots arts organizations ? from the Heart of the Beast Puppet and Mask Theater to The Loft Literary Center to Springboard for the Arts to Skylark Opera to the Walker West Jazz School to the Ethnic Dance Theater to the Minneapolis Jewish Film Festival.

    Given that our most universally known attribute is wild swings in the weather, why not grab some attention with big-bang seasonal festivals that show off our extremes?

    ?The Winter Carnival and Aquatennial are both good, but need some shaking up,? offers Minneapolis Mayor R.T. Rybak. What about a major Midsummer Festival to capitalize on our Nordic heritage? And an International Hall of Fame, with exhibits on everything from extreme blizzards to polar explorations to the history of ice hockey as well a gloves-on ?freeze chamber? that simulates 30 below and encourages snowball fights in July.

    Looking forward, planning is under way for a bid to hold the 2022 World?s Fair here which offers a sterling opportunity to put MSP on the global map.

    Our near-total obscurity as a travel destination

    It?s difficult to shift perceptions of a place very few folks have ever set foot.

    This poses a missed opportunity far bigger than lost hotel and restaurant revenues.

    ?Tourism and cultural exchange leads to trade, which leads to investment, which leads to jobs, which leads to wealth creation,? points out Michael Langley, president of Greater MSP, the new organization to attract investment in the region. Happy tourists become prospective residents, or even if they have no plans to move here they nonetheless spread the word back home.

    Our Midwestern humility may blind us to MSP?s appeal as an urbane destination.? For the last two years we?ve led the rising star category of Travel + Leisure magazine?s ?America?s Favorite Cities? poll, where 40,000 readers ranked 35 cities for their best qualities. Last year, they ranked us #1 for Intelligent, Cleanliness and Parks/Outdoors;? #2 for Theater, #3 for Gay-Friendly. We topped vacation hot spots such as Los Angeles, Chicago, Seattle, Las Vegas, Boston, Honolulu, and Washington, D.C.

    Making cold cool

    The one thing people everywhere knows about MSP is our temperatures. But cold does not automatically means terrible. Kerri Westenberg, travel editor of the Star Tribune who moved here from Los Angeles, says, ?We should be celebrated for winter rather than pretend it doesn?t exist.?

    We need to talk about ourselves as the ?Northern Sunbelt"; we enjoy blue skies for most of the winter when other places endure a dismal blanket of clouds, says local education expert Ted Kolderie. Director of the Humphrey School of Public Affairs' Project on Regional and Industrial Economies Ann Markusen has pored over data from National Oceanic and Atmospheric Administration, which show we are among the country?s sunniest places outside the Sun Belt. Indeed, our climate may actually be a sweet spot between the gray skies that generally prevail to our east and the barren brown landscapes to our west.

    Disturbingly, climate change might make Minnesota look more attractive by raising temperatures and shortening winter at the same time as erasing favorable impressions of hot weather. But polar explorer Will Steger cautions that global warming will also bring more deforestation, decline in water quality, major storms, invasive species, vermin, drought, and heat waves.? But that?s mild compared to the sea level rise, hurricanes, water shortages, severe droughts, and interminable heat waves threatening other parts of the country. ?

    And let?s not forget one of the least appreciated virtues of cold weather. Many of our region?s strengths have been born out of the necessity of doing things better than other places to compensate for the perceived liabilities of Minnesota winters, reminds Jon Pratt, director of the Minnesota Council of Nonprofits.?

    Advantages to build upon

    Despite all these challenges, a thorough assessment of our strengths and weaknesses against other U.S. regions shows that MSP?s glass stands closer to full than to empty. Here are some of our current assets:

    Business and economy

    • A well-educated workforce
    • A strong creative industry sector
    • A strong work ethic throughout all levels of the labor force?
    • A low-cost of living compared to other high-income metropolitan areas
    • A diverse economy, which offers resilience in periods of economic upheaval
    • Relatively low unemployment
    • A hub airport with nonstop flights to 135 destinations, including Europe and Asia

    ?Public participation, civil society and government

    • A vital civic sector, encompassing citizens groups and nonprofit organizations across many sectors
    • A strong philanthropic sector, committed to the region
    • Civic-minded citizens who show high levels of volunteerism and community engagement
    • High social capital due to widespread participation in civic and religious organizations
    • Progressive, efficient, transparent government
    • Tax-base sharing on the regional scale, which helps poorer municipalities avoid steep decline
    • Regional coordination on transportation, planning, sewers, parks and housing through the Met Council

    ?Education, arts and recreation

    • A major research university and a many well-regarded four-year and community colleges
    • A vibrant, internationally recognized arts community, ranging across all genres and mediums
    • A wealth of arts institutions to sustain and inspire local creativity
    • Generous funding of the arts at a rate 13.5 times the national average
    • A lively, nationally recognized music scene, ranging from orchestras to bar bands
    • Excellent parks and trails offering access to nature in people?s neighborhoods that is surpassed no where else in America
    • Topnotch outdoor recreation at lakes, forests, prairies and other public lands
    • The best network of urban bicycle trails in the country, and high levels of bike commuting
    • Five major-league sports teams, plus Big 10 athletics

    ?Community and social

    • Growing ethnic and international diversity
    • High rank in ratings of gay-friendly communites
    • A burgeoning food scene encompassing gourmet restaurants, ethnic eateries, farmers markets, local food purveyors and food trucks
    • Good housing stock with relatively few abandoned or blighted properties
    • Widespread recognition as a good place to raise a family
    • Plentiful sports, arts, academic and other programs for children
    • High attachment to community, making it one of the hardest markets in the country to recruit people away from
    • People who grew up here returning at high levels after studying or starting careers elsewhere
    • Strong tradition of neighborhood involvement and identity

    ?So far Minneapolis-St. Paul get good marks,? says Doug Baker, CEO of Eco Lab. But he cautions that we must understand it?s not something in the water. ?We need to make it happen.?
